1. About These Terms

These Terms of Use (“Terms”) are a legal agreement between you and Sunmesa Labs (“Sunmesa Labs”, “we”, “us” or “our”) governing your use of our website, digital products, software, tools and related services (together, the “Services”). Our Privacy Policy and Refund Policy are part of these Terms. Additional terms shown on a product’s sales page or license (for example, commercial-use rights) also apply to that product.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract to use the Services or make a purchase. If you use the Services on behalf of a business, you confirm that you have authority to bind that business to these Terms.

3. Our Products

Sunmesa Labs sells digital products only, including web-based software, AI-powered generators, game builders, templates, prompt libraries and marketing tools. Each product’s features, deliverables, license type and price are described on its sales page. We work to describe our products accurately, but screenshots and demos are illustrative and features may be improved or changed over time.

4. Accounts

Some products require an account. You are responsible for keeping your login details confidential, for all activity under your account, and for providing accurate information. Accounts are for one person or business and may not be shared, resold or transferred unless the product license allows it. Notify us immediately at hello@sunmesalabs.com if you suspect unauthorized use.

5. Pricing, Payment and Taxes

• Currency: all prices are shown and charged in United States Dollars (USD) unless clearly stated otherwise. Your bank may apply currency conversion or foreign transaction fees.
• Payment processing: payments are securely processed by third-party processors such as Stripe, PayPal or the marketplace you buy from (for example, WarriorPlus). We do not store your full card details. Card data is handled under PCI DSS standards.
• Statement descriptor: charges will appear on your statement as SUNMESA LABS or the name of the marketplace you purchased through.
• Taxes: prices may not include sales tax, VAT or similar taxes, which will be added at checkout where required.
• Price changes: we may change prices at any time. Changes do not affect orders already paid.

6. Delivery of Digital Products

There is no physical shipping. After successful payment, you will receive access instructions by email and/or through your account, usually immediately and always within 24 hours. If you do not receive access, check your spam folder and then contact us with your order ID.

7. Subscriptions and Cancellation

Some products may be offered as recurring subscriptions (monthly or yearly). Subscriptions renew automatically at the price and interval shown at checkout until cancelled. You can cancel at any time through your account, the marketplace you purchased from, or by emailing us. Cancellation stops future charges; you keep access until the end of the current paid period. Refunds for subscription charges are covered by our Refund Policy.

8. Promotions, Discounts and Trials

Launch discounts, coupons, bundles and free trials are valid only for the period and conditions stated in the offer. Unless stated otherwise, promotions cannot be combined, have no cash value and may end at any time. If a free or discounted trial converts to a paid plan, the price, billing date and how to cancel will be shown before you start the trial.

9. License to Use Our Products

When you buy a product, we grant you a limited, non-exclusive, non-transferable, revocable license to use it according to its stated license type (personal or commercial). Unless the product license expressly allows it, you may not:

• resell, share, sublicense, give away or redistribute the product, its source code or account access;
• copy, reverse engineer or create a competing product from our software or materials;
• remove copyright notices or claim our materials as your own.

Content you create using our tools (for example, generated games, prompts, pages or designs) belongs to you, subject to these Terms, the product license and the terms of any third-party AI or content providers involved.

10. Acceptable Use

You agree not to use the Services to: break any law; infringe intellectual property or privacy rights; create or distribute spam, malware, deceptive, hateful or sexually explicit content involving minors; attempt to gain unauthorized access to our systems; overload or disrupt the Services; or abuse refunds, chargebacks or promotions. We may suspend or terminate access for violations.

11. AI-Generated Output

Some tools use artificial intelligence. AI output may be inaccurate, incomplete or similar to content generated for others. You are responsible for reviewing output before use, and for making sure your use of it complies with law and the rules of any platform where you publish or sell it.

12. Earnings and Results Disclaimer

Our products are tools. Any examples of income, sales or results are illustrative and are not a guarantee that you will achieve similar results. Your results depend on your effort, skills, market conditions and many other factors outside our control. Nothing on our website is legal, tax or financial advice.

13. Affiliates and Endorsements

We run an affiliate/JV program, and affiliates may earn commissions when you buy through their links. Affiliates are independent and are not authorized to make promises on our behalf. Some links on our website may also be affiliate links that pay us a commission at no extra cost to you.

14. Intellectual Property

The Services, including software, designs, text, graphics, logos and the “Sunmesa Labs” name, are owned by Sunmesa Labs or its licensors and are protected by copyright, trademark and other laws. Except for the license in Section 9, no rights are granted to you.

15. Third-Party Services

The Services may integrate with or link to third-party websites, marketplaces, AI providers and platforms. We are not responsible for their content, availability or terms, and your use of them is at your own risk.

16. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free or meet every requirement.

17. Limitation of Liability

To the fullest extent permitted by law, Sunmesa Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the amount you paid us for the product giving rise to the claim in the 12 months before the claim. Some jurisdictions do not allow these limits, so they may not apply to you.

18. Indemnification

You agree to indemnify and hold harmless Sunmesa Labs from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Services, your content, or your violation of these Terms or of law.

19. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, misuse the Services or create risk or legal exposure for us. Sections that by their nature should survive termination (including 9 to 21) will survive.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at hello@sunmesalabs.com and try to resolve the dispute informally for at least 30 days. If it is not resolved, it will be decided by the state or federal courts located in Wyoming, unless the consumer protection laws of your country give you the right to bring a claim in your local courts.

21. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shows when they were last changed. Continued use of the Services after changes take effect means you accept the updated Terms. Material changes will be announced by email or on our website.
